Defined Scope
All advisory sprints and custom engineering tasks governed by explicit Statements of Work (SOW).
IP Ownership
Clients receive complete ownership of all custom bespoke code upon final invoice settlement.
Confidentiality
Proprietary trade secrets, schemas, and keys guarded under strict bilateral confidentiality.
01 //Agreement & Acceptance
By accessing shrikantyadav.com, retaining architectural advisory services, or executing a proposal issued by Shrimo Innovations Private Limited, you agree to be bound by these Terms and Conditions.
If you represent a corporate entity, you certify that you possess the requisite authority to bind that entity to these terms.
02 //Advisory Services & Engagements
Professional advisory services offered include Fractional CTO guidance, cloud and database architecture audits, performance optimization sprints (Core Web Vitals), and end-to-end full-stack software development.
- Statements of Work (SOW): Specific deliverables, sprint schedules, milestones, and compensations are documented in formal project proposals or master service agreements.
- Change Requests: Substantial modifications to functional requirements or architectural parameters are evaluated collaboratively with revised estimates.
03 //Intellectual Property Rights
Upon full settlement of contracted invoices, the client receives exclusive, worldwide ownership of all bespoke source code, schema designs, and deliverables explicitly developed for their project.
Pre-existing proprietary frameworks, engineering articles, open-source packages (e.g., localmockdb, next-response-kit), and proprietary platforms (Photocopywala, DigitingCard, DekhoBiz) remain the exclusive intellectual property of Shrikant Yadav and Shrimo Innovations Private Limited.
04 //Confidentiality & NDA Standards
Both parties agree to hold all non-public information—including business models, customer records, database schematics, API keys, and deployment credentials—in strict confidence. Confidential information shall not be disclosed to any third party without express written authorization.
05 //Payment Terms & Invoicing
- Currencies: Engagements may be invoiced in US Dollars (USD) for international clients or Indian Rupees (INR) for domestic clients.
- Milestones: Fixed-scope projects are typically scheduled with an initial deposit followed by milestone disbursements upon verified code verification.
- Advisory Retainers: Fractional CTO advisory retainers are billed at the start of each monthly engagement cycle.
06 //Limitation of Liability
Engineering services and technical advisories are executed with highest professional diligence. To the fullest extent permitted by law, Shrikant Yadav and Shrimo Innovations Private Limited shall not be liable for incidental, indirect, or consequential damages resulting from platform downtime or third-party cloud service provider disruptions. In all instances, total aggregate liability is limited to fees paid under the specific engagement.
07 //Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the substantive laws of India. Any legal disputes arising out of consulting services or website usage shall be subject to the exclusive jurisdiction of the competent courts in Madhya Pradesh, India.
